Terms and Conditions

This English version is a convenience translation. The German original, available at cluency.ai/agb (viewed with German selected as your language), is the legally binding version in case of any discrepancy. Pursuant to Section 14.5, the contract language is German.

Section 1 Scope and Provider

1.1 Provider and Service

These Terms and Conditions govern the use of the "Cluency" service provided by GRVITY GmbH, Schauenburgerstr. 116, 24118 Kiel, Germany, registered in the Commercial Register of the Kiel Local Court (Amtsgericht Kiel) under HRB 23627, VAT ID DE352555083, represented by its managing director Raitschin Raitschew (hereinafter "GRVITY").

Cluency is an AI-powered service that automatically analyzes, summarizes, and turns links, videos, documents, and voice messages into visual Cheat Sheets, provided as Software-as-a-Service.

1.2 Scope

These Terms apply to all usage relationships between GRVITY and the customer regarding the use of Cluency. Any conflicting or deviating terms of the customer do not become part of the contract unless GRVITY expressly agrees to them in writing.

By registering or first using the service, the customer agrees to these Terms. The current version is available at https://cluency.ai/agb.

Section 4 Formation of Contract and User Account

4.1 Registration

Using Cluency requires creating a user account. The customer warrants the accuracy of the data provided during registration. The contract is formed upon completion of registration and selection of a plan.

4.2 Account security

The customer is responsible for keeping their access credentials confidential and is liable for all activity under their account. GRVITY must be notified immediately of any suspected misuse.

Section 5 Usage Rights and Obligations

5.1 Right of use

GRVITY grants the customer a non-exclusive, non-transferable right to use the service for the term of the contract.

In the event of violations, GRVITY reserves the right to temporarily or permanently block access, terminate the contract without notice, and pursue damages.

Section 7 Prices and Payment Terms

7.1 Subscription plans

Cluency offers the following plans:

7.2 Billing and payment

Billing occurs monthly in advance. Payment is processed via the payment provider Stripe. All prices include statutory VAT.

7.3 Plan changes

The customer may change their plan at any time. Upgrades take effect immediately; downgrades take effect at the end of the current billing period.

7.4 Price changes

GRVITY is entitled to change prices with 30 days' notice. In the event of price increases of more than 5%, the customer has a special right of termination.

Section 8 Availability and Support

8.1 Availability target

GRVITY aims for 99% availability per month (excluding planned maintenance windows). Planned maintenance will be announced at least 24 hours in advance.

8.2 Support

Support is provided via email at emilia@cluency.ai. Response times: Free plan 48–72 hours, Pro plan 24 hours.

8.3 Force majeure

GRVITY is not liable for service interruptions caused by force majeure, cyberattacks, or other circumstances beyond GRVITY's control.

Section 9 Data Protection and Data Security

9.1 Data protection

Personal data is processed in accordance with the Privacy Policy at https://cluency.ai/datenschutz.

9.2 Security measures

GRVITY employs appropriate technical and organizational measures: TLS 1.3 encryption for data transmission, encrypted data storage, as well as access controls and logging. Hosting is provided via Vercel with server locations in the EU.

Section 10 Liability and Warranty

10.1 Warranty

GRVITY warrants that the service will function substantially in accordance with the description of services. AI-generated content may be inaccurate or incomplete. The customer is responsible for independently reviewing the results before any further use.

10.2 Limitation of liability

GRVITY is liable without limitation for:

In the event of a slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical for this type of contract. Otherwise, GRVITY's liability is excluded, in particular for indirect damages, lost profits, or data loss not based on intentional or grossly negligent conduct.

Section 11 Intellectual Property

11.1 Rights to the service

All rights to the service, including software, algorithms, and documentation, remain with GRVITY.

11.2 Customer data

The customer retains all rights to their content and data. Submitted content is processed exclusively to provide the service and is not used by GRVITY for its own purposes.

11.3 AI-generated content

Summaries and Cheat Sheets generated from submitted content are available to the customer for unrestricted use.

Section 12 Termination

12.1 Ordinary termination

The contract may be terminated by either party at any time, effective at the end of the current billing period. Termination may be submitted via the account feature or by email to emilia@cluency.ai.

12.2 Extraordinary termination

The right to terminate for cause remains unaffected. Cause includes, in particular: repeated violations of these Terms, payment default exceeding 30 days, or insolvency of either contracting party.

12.3 Consequences of termination

Upon termination of the contract, all usage rights lapse. The customer may export their data until the contract ends. Afterward, all personal data will be deleted in accordance with the Privacy Policy.

Section 13 Changes to These Terms

13.1 Right to amend

GRVITY reserves the right to amend these Terms in the event of: changes in the legal situation, the addition of new features, regulatory orders, or technical developments.

13.2 Notice

Changes will be communicated by email at least 30 days in advance. If the customer does not object within this period, the changes are deemed accepted.

Section 14 Final Provisions

14.1 Governing law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

14.2 Place of jurisdiction

Kiel shall be the exclusive place of jurisdiction.

14.3 Dispute resolution

GRVITY is not willing or obligated to participate in dispute resolution proceedings before a consumer arbitration board.

14.4 Severability

Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected.

The contract language is German.
